Chandrasekaran, a director since October 2016, seeks approval for his continued role as chairman, set to end in February 2027.
The meeting’s significance is heightened by regulatory proceedings involving the Sir Ratan Tata Trust’s governance structure. Concerns have been raised about the trust’s board composition and compliance with the Maharashtra Public Trusts Act. Due to these proceedings, the trust faces challenges in convening meetings, potentially affecting Tata Sons’ governance.
Tata Sons’ Articles of Association require a valid quorum for the AGM, necessitating joint nomination by the Sir Ratan Tata Trust and the Sir Dorabji Tata Trust. These trusts collectively hold a significant stake in Tata Sons, with the Sir Ratan Tata Trust currently unable to hold meetings. This situation raises questions about the nomination process for the AGM.
To address this issue, the Sir Ratan Tata Trust may seek permission from the Maharashtra Charity Commissioner to hold a limited meeting for authorizing its participation in the AGM. Alternatively, regulatory clarification may be sought regarding the trust’s shareholder rights in Tata Sons amidst the ongoing governance concerns.
